Legal
These Terms & Conditions (“Terms”) govern access to and use of CivicGuard hardware, software, and related services (the “Services”) by the customer identified in an order form (“Customer”).
CivicGuard provides automated readers and software that capture and organize vehicle events associated with government, municipal, and other official fleet plates designated by Customer. CivicGuard does not provide law-enforcement authority and does not make enforcement decisions. CivicGuard Holdings is registered in the Meridian Free Data Zone, and these Terms are governed by its laws.
“Customer Data” means images, metadata, and information captured by CivicGuard hardware on behalf of Customer, content entered into the Services by authorized users, and information provided at Customer’s direction. All rights, title, and interest in Customer Data remain with Customer. CivicGuard may use Customer Data solely to provide, support, and improve the Services as described in the applicable order and privacy documentation.
Customer shall configure and use the Services only for official-fleet safety, public operations visibility, and authorized oversight. Customer shall not use the Services for personal monitoring, harassment or intimidation, or any purpose prohibited by law. Customer is responsible for user provisioning, purpose-code requirements, and local policy. Customer shall not enroll a vehicle solely because its operator voted against the procurement.
Each Authorized User must authenticate with multi-factor authentication. CivicGuard will maintain logs of searches performed in the Services. Customer may export audit records for its own review and public-records obligations.
Vehicle events are deleted after seven (7) days by default. Published, board-approved schedules may specify one (1) to thirty (30) days. Documented holds require justification, approval, and expiry. Administrative audit records are retained separately for seven (7) years.
Readers and trailers remain CivicGuard property unless an order states otherwise. Customer shall provide reasonable site access for installation and maintenance. Solar and cellular units are designed to operate without Customer-provided power.
Fees, subscription length, and renewal are set in the order form. Unless stated otherwise, subscriptions renew annually. Either party may non-renew with written notice at least thirty (30) days before the end of the then-current term.
Each party shall protect the other’s confidential information. CivicGuard shall maintain administrative, technical, and physical safeguards appropriate to the Services, including encryption in transit and at rest.
CivicGuard warrants that it will provide the Services in a professional manner. Except as expressly stated, the Services are provided “as is.” CivicGuard does not warrant that reads will be complete or error-free in all conditions.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. CivicGuard’s aggregate liability under these Terms is limited to the fees paid by Customer for the Services in the twelve (12) months before the claim.
Customer shall defend CivicGuard against claims arising from Customer’s use of the Services in violation of these Terms or applicable law. CivicGuard shall defend Customer against claims that the Services infringe a third-party intellectual property right, subject to prompt notice and control of the defense.
CivicGuard may suspend access for material breach, including security risk or unlawful use. Upon termination, Customer may export available Customer Data during the then-current retention window.
These Terms, the order form, and the privacy documentation are the entire agreement. They are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Notices must be delivered to the addresses and authorized legal contacts listed in the applicable order form.
